These Terms of Service ("Terms") govern the relationship between Wyan Media ("we", "our", "us") and the client ("you", "your") who engages our internet marketing services ("Services"). By engaging with us and using our Services, you agree to abide by the following Terms. Please read them carefully.
1. Services Provided
Wyan Media provides a wide range of internet marketing services, including but not limited to:
Search Engine Optimization (SEO)
Pay-Per-Click (PPC)
AdvertisingSocial Media Marketing (SMM)
Content Creation & Marketing
Website Design & Development
Email Marketing Campaigns
Analytics & Reporting
Brand Strategy & Consulting
Funnel setup
Details of the specific services we will provide will be outlined in the Service Agreement or Proposal provided to you.
2. Agreement and Term
By engaging Wyan Media for the Services, you agree to enter a formal agreement for the duration specified in the proposal or contract.The contract term may be subject to renewal or termination based on the agreed-upon duration.
3. Client Responsibilities
As a client, you agree to:-
Provide accurate, complete, and up-to-date information required for the provision of the Services.
Cooperate with our team in providing necessary access to your website, social media accounts, and any other platforms needed to execute the agreed-upon marketing strategies.
Pay all fees as outlined in the Service Agreement and adhere to the payment schedule.
4. Payment Terms
Payments for Services are due according to the terms specified in your Service Agreement or Proposal.
Invoices will be issued at regular intervals (monthly, quarterly, etc.), and you agree to pay them by the due date specified.
Late payments may incur additional fees or interest as stipulated in the Service Agreement.
If payment is not received within 15 days of the due date, we reserve the right to suspend or terminate services.
5. Intellectual Property
You retain ownership of all materials, content, and intellectual property you provide to us.
We retain ownership of any intellectual property we create during our work unless otherwise agreed upon in the Service Agreement.
You grant Wyan Media a non-exclusive, royalty-free license to use your trademarks, logos, and other intellectual property for marketing services during the duration of our relationship.
6. Confidentiality
We agree to maintain the confidentiality of any sensitive information you provide to us during our work.Similarly, you agree not to disclose any proprietary or confidential information about Wyan Media’s processes, pricing, strategies, or other business practices.
7. Limitations of Liability
Wyan Media will use reasonable efforts to deliver high-quality services. However, we do not guarantee specific outcomes (such as increased traffic or sales) as results can vary based on numerous factors outside our control.
Our liability for any damages, claims, or losses related to our services is limited to the total amount you have paid for services during the preceding months.
8.Termination
Either party may terminate this agreement with 15 days written notice, provided that any unpaid fees for services rendered up to the termination date are settled.Upon termination, all outstanding fees will be due immediately.
Wyan Media may suspend or terminate services if payment terms are not met or if the client is in breach of these Terms.
9. Indemnification
You agree to indemnify and hold Wyan Media, its officers, employees, and agents harmless from any claims, damages, losses, and expenses (including attorney fees) arising out of your use of our services, your content, or any breach of these Terms.
10. Amendments
Wyan Media reserves the right to amend these Terms at any time. Any amendments will be posted on our website and will take effect immediately upon posting.It is your responsibility to review the Terms regularly to stay informed of any changes.
11. Dispute Resolution
In the event of a dispute, we will first attempt to resolve the matter amicably through negotiation.If negotiation is unsuccessful, you agree to resolve disputes through arbitration/mediation in Indian jurisdiction.
12. Governing Law
These Terms will be governed by and construed by the laws of India,Chandigarh without regard to its conflict of law principles.
13. Force Majeure
Neither party shall be liable for any delay or failure to perform due to causes beyond their reasonable control, including but not limited to acts of God, government regulations, war, terrorism, labor disputes, or technology failure.
14. Entire Agreement
These Terms, together with any Service Agreements, Proposals, or other documents expressly incorporated herein, constitute the entire agreement between you and Wyan Media.By engaging with Wyan Media, you acknowledge that you have read, understood, and agree to these Terms.
